Beat License Terms

emadethis.com  ·  Lehi, Utah

Producer / Seller: Evan Anderson, d/b/a E

Every beat on emadethis.com is licensed, not sold outright — you are acquiring specific usage rights defined by the tier you select at checkout. Three tiers are available at checkout: a Free Download for non-profit use, a WAV Lease, and a Trackout Lease. An Exclusive Rights option is negotiated separately for buyers who want a beat taken off the market entirely. By completing checkout — including a free one — you agree to the terms of the tier you selected, as set out below. Your receipt / License Certificate records which tier applies.

Reading this because you took a free download? Go straight to Section 1. The short version: the beat is yours to make music with, but not to make money with. The moment the song goes on Spotify, Apple Music, or any monetised release, you need the WAV Lease or Trackout Lease first.

Definitions

"Producer" means Evan Anderson, d/b/a E (emadethis.com), Lehi, Utah, who owns or co-owns the Beat and is authorised to license it. "Co-Producer" means any additional producer credited on a particular Beat; where one exists, that Beat is jointly owned and the credit requirement names both (see Section 5.16). "Licensee" or "you" means the person or entity that completed checkout. "Beat" means the specific instrumental musical composition and sound recording identified by title at checkout. "New Song" means the new musical work you create by adding lyrics, vocals, topline melody, or other original material to the Beat. "Distribution Copies" means the total number of physical or digital reproductions of the New Song made available to the public, whether sold or given away. "Audio Streams" means the cumulative number of on-demand plays of the New Song across all platforms. "Monetised" means any use that generates revenue of any kind, directly or indirectly, including streaming royalties, ad revenue, sales, sponsorships, or paid promotion. "Non-Profit Use" means use that is not Monetised in any form.

1. Free Download License (Non-Exclusive, Non-Profit)

The entry tier. You get the same mastered files as the WAV Lease at no cost, so you can write to the beat, record, and decide whether it's the one — but the license covers non-profit use only. It is not a commercial release license.

  1. Grant of License. Producer grants Licensee a non-exclusive, non-transferable, worldwide, royalty-free license to use the Beat to record and publicly share one (1) New Song for Non-Profit Use only.
  2. Files Delivered. A full-length 320 kbps MP3 of the mastered Beat. The 48 kHz WAV master is not included at this tier — it is supplied with the WAV Lease and above. The MP3 is the same master, at a format suitable for writing and recording to rather than for commercial release.
  3. Permitted Uses. Demos, writing sessions, freestyles, non-monetised SoundCloud and YouTube uploads, private sharing, portfolio and A&R submissions, and live performance at non-profit events.
  4. Prohibited Uses — read this carefully. Under this license you may not: distribute the New Song to Spotify, Apple Music, or any other streaming or download store; monetise any video, post, or upload containing the New Song; run paid promotion or advertising behind it; sell physical or digital copies; use it in any advertisement, film, television, or game; broadcast it on radio or television; or register it with any Content ID, fingerprinting, or royalty-collection system.
  5. Mandatory Credit and Link. Every public upload of the New Song must credit the Beat's producer(s) — "Prod. by E", or "Prod. by E & [Co-Producer]" where one is credited — in the title or description, and must include a link to emadethis.com. This is a condition of the license, not a courtesy.
  6. Upgrade Before You Monetise. This license does not convert automatically. If the New Song is going to be released commercially — or if a release you already made starts earning — you must purchase the WAV Lease or Trackout Lease before that release or monetisation begins. Monetising under a free license is a material breach, and the credit requirement above is how Producer identifies unlicensed releases.
  7. Producer's Continuing Rights. The Beat remains available for free download and for paid licensing to any number of other artists. Producer may remove any beat from free download at any time; a free download already taken remains valid under these terms for the New Song you created with it.
  8. No Warranty of Availability. Free downloads are provided as-is. Producer is under no obligation to re-send files, maintain download links, or continue offering any beat free of charge.
The practical line: if money changes hands anywhere near the New Song — yours or anyone else's — this license does not cover it. Buy the lease first. Upgrading is cheap; a takedown or a claim after the fact is not.

2. WAV Lease Agreement (Non-Exclusive)

The entry commercial tier: MP3 and WAV delivery with capped distribution and streaming, suitable for most independent commercial releases.

  1. Grant of License. Upon payment in full, Producer grants Licensee a non-exclusive, non-transferable, worldwide license to use the Beat to record, produce, and commercially exploit one (1) New Song, subject to the limits below.
  2. Ownership. Producer retains all right, title, and interest in the Beat, including the copyright in the underlying composition and master recording. This license conveys a right to use the Beat — it does not transfer ownership. Producer may continue to license the same Beat to other artists.
  3. Producer Credit. You must credit the Beat's producer(s) — as shown on that beat's page and in the delivered file's metadata, e.g. "Prod. by E" or "Prod. by E & slly" — in the New Song's metadata, video description, liner notes, and anywhere else credits customarily appear, on every commercial release.
  4. Files Delivered. Mastered MP3 and WAV files of the Beat.
  5. Usage Limits. Up to ten thousand (10,000) Distribution Copies and up to five hundred thousand (500,000) cumulative Audio Streams. One (1) monetised music video is permitted. Live performance is unlimited, including paid shows. Broadcast on radio or television is not permitted under this tier.
  6. Publishing. Producer claims no share of your publishing or songwriting on the New Song. The license fee is the entire consideration. See General Terms, Section 5.4.
  7. Prohibited Uses. You may not resell or redistribute the Beat itself, claim authorship of the Beat, register the Beat or the New Song with any Content ID or fingerprinting system, or use it in unlawful, defamatory, or obscene material. See General Terms for the full list, which applies to every tier.
  8. Exceeding the Limits. If your actual Distribution Copies or Audio Streams exceed these caps, you must upgrade to the Trackout Lease or negotiate an Exclusive Rights Agreement. See the upgrade credit in General Terms, Section 5.3.

3. Trackout Lease Agreement (Non-Exclusive)

The top non-exclusive tier: full stems for professional mixing, with unlimited distribution and streaming and limited broadcast rights, while the Beat remains available to other artists.

  1. Grant of License. Same non-exclusive grant as the WAV Lease, for one (1) New Song, subject to the limits below.
  2. Ownership. Same as the WAV Lease — Producer retains the Beat's copyright and may continue to license it to other artists.
  3. Producer Credit. Same producer-credit requirement as the WAV Lease, naming any Co-Producer.
  4. Files Delivered. Mastered MP3, WAV, and individual trackout stems of the Beat.
  5. Usage Limits. Distribution Copies and Audio Streams are unlimited. Monetised music video use is unlimited. Live performance is unlimited. Broadcast is permitted on up to two (2) terrestrial or digital radio stations; broadcast beyond that requires separate clearance from Producer.
  6. Mixing and Arrangement. Because stems are delivered, you may re-mix, re-arrange, re-sequence, and re-master the Beat for the New Song. You may not extract individual stems for use in a different composition, redistribute the stems, or include them in a sample pack or loop library.
  7. Publishing. Producer claims no share of your publishing or songwriting on the New Song.
  8. Prohibited Uses. Same as the WAV Lease and the General Terms.

4. Exclusive Rights Agreement

Negotiated individually — not sold at checkout. Used once a New Song has real commercial momentum. Removes the Beat from further sale to anyone else.

  1. Grant of License. Producer grants an exclusive, worldwide license to use the Beat for one (1) New Song. From the effective date forward, Producer will not license the Beat to any other party and will remove it from sale and from free download. This is an exclusive license, not a copyright transfer — Producer retains the underlying copyright unless a separate Copyright Assignment / Full Buyout Addendum is signed.
  2. Existing Licenses Survive. Exclusivity operates going forward only. Free downloads and leases already granted to other artists before the effective date remain valid for their own New Songs, and Producer cannot revoke them. Producer will disclose the number of prior licenses issued for that Beat before the deal is signed.
  3. Unlimited Use. Distribution, streaming, monetised video, live performance, and broadcast are unlimited. Content ID registration is permitted.
  4. Files Delivered. Mastered MP3, WAV, and individual trackout stems.
  5. Producer Credit. Required unless the parties agree in writing to a no-credit buyout.
  6. Contingent Royalty / "Success" Clause (negotiated per deal). Exclusive deals may include a clause entitling Producer to additional compensation — a share of master income and/or publishing — if the New Song hits defined milestones (major-label release, a streaming threshold, a significant sync placement). Terms are set out in the signed Exclusive Rights Agreement for that specific deal, not on this page.
Note: Exclusive Rights purchases are documented with a separately signed agreement in addition to this page — contact Producer directly to arrange one.

5. General Terms

These apply to every tier, free and paid alike.

  1. 5.1 Delivery. Files are delivered by email to the address you provide at checkout, to a download link issued after your order completes. It is your responsibility to enter a working address and to download and back up your files. Producer will re-issue a link on request where reasonably possible, but does not guarantee indefinite hosting.
  2. 5.2 Refunds. Licenses are delivered as digital files and are non-returnable. All sales are final once the download link has been issued, except where required by law. If a file is corrupt, wrong, or never arrives, contact Producer and it will be fixed or refunded.
  3. 5.3 Upgrades and Upgrade Credit. You may upgrade a license at any time. The amount already paid for a lower tier on the same Beat is credited in full against the higher tier, provided the upgrade is for the same New Song. A free download carries no credit, because nothing was paid.
  4. 5.4 Publishing and Royalties. Producer claims no ownership of, and no share in, the lyrics, topline, or other original material you contribute, and takes no publishing or songwriting split on the New Song under any non-exclusive tier. The license fee is the entire consideration. You keep 100% of your publishing. (Exclusive Rights deals may include a negotiated contingent royalty — see Section 4.6.)
  5. 5.5 Content ID and Royalty Collection. Under all non-exclusive tiers you may not register the Beat, the New Song, or any derivative with YouTube Content ID, a digital fingerprinting service, a PRO, or any other automated rights-collection or monetisation system. These systems cannot distinguish your New Song from the Beat itself, so registering one issues false claims against every other artist licensing the same Beat — including Producer. Doing so is a material breach, and you are responsible for releasing any claims it generates.
  6. 5.6 Synchronisation. Use of the New Song in film, television, advertising, video games, or any other audiovisual production beyond the music-video allowance in your tier requires a separate synchronisation license from Producer. Ask first — these are usually granted, and usually cheap.
  7. 5.7 Resale, Redistribution, and Derivative Products. You may not sell, lease, sub-license, give away, or otherwise distribute the Beat or its stems as a standalone instrumental, in a beat pack, sample pack, loop library, preset, or any other product where the Beat itself is what is being supplied. The license covers the New Song you make, not the Beat.
  8. 5.8 AI and Machine Learning. You may not use the Beat, its stems, or the New Song as training data for, or as input to, any generative model, voice or style cloning system, or other machine-learning system, and you may not permit a third party to do so.
  9. 5.9 Tokenisation. You may not mint, sell, or fractionalise the Beat or the New Song as an NFT or other blockchain asset without Producer's prior written consent.
  10. 5.10 Term and Termination. Non-exclusive licenses are effective on payment (or on download, for the free tier) and are perpetual — they do not expire and require no renewal. Producer may terminate a license upon your uncured material breach — exceeding usage limits, failing to credit Producer, monetising under a free license, unauthorised resale, or Content ID registration — following thirty (30) days' written notice and an opportunity to cure. On termination you must cease distribution of the New Song and remove it from all platforms.
  11. 5.11 Indemnification. You agree to indemnify and hold Producer harmless against claims arising from your use of the New Song beyond the scope of your license, or from material you add to the Beat.
  12. 5.12 Sample-Free Warranty. Producer represents that, to Producer's knowledge, the Beat is original and does not infringe third-party rights. This warranty does not extend to material you add. Producer's total liability under any license is limited to the amount you paid for it — which, for a free download, is zero.
  13. 5.13 No Assignment. You may not transfer your license without Producer's written consent, except as part of a good-faith transfer of your New Song's full rights (e.g. a label deal), in which case the transferee assumes these terms in full.
  14. 5.14 Governing Law. These terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. Disputes are resolved exclusively in the state or federal courts located in Utah County, Utah.
  15. 5.15 Changes to These Terms. Producer may revise this page. The version in force for your license is the version published on the date of your order, and your checkout record fixes that date. Revisions are not retroactive.
  16. 5.16 Co-Produced Beats. Some Beats are produced jointly with another producer, who is named on that beat's page and in the metadata of the delivered files. For those Beats: the required credit names every credited producer, not Producer alone; Producer licenses the Beat with the Co-Producer's authorisation; and the warranty in Section 5.12 is given on behalf of all credited producers. Dropping a Co-Producer from your credits is the same breach as dropping Producer. Currently co-produced: PAYBACH (E & slly) and Ray Freestyle (E & Dollaboy).
  17. 5.17 Entire Agreement and Severability. The applicable tier agreement above, together with your License Certificate / receipt, is the entire agreement between you and Producer for that Beat. If any provision is held unenforceable, the rest remains in force.
